Yes. An NDA is enforceable under the Indian Contract Act 1872 if it has offer, acceptance, consideration and free consent. Breach entitles the disclosing party to injunctive relief and damages. Confidentiality clauses must be reasonable in scope and duration under Section 27.

An NDA should be executed on non-judicial stamp paper (₹100-₹200 depending on state) for evidentiary purposes. An unstamped NDA may not be admissible in court without paying stamp duty and penalty. Witness signatures and notarisation add further evidentiary strength.

A unilateral NDA binds only the receiving party. Used when one party shares secrets with a vendor or employee. A mutual NDA binds both parties and is used in mergers, acquisitions, joint ventures and partnerships where both sides share sensitive information.
